Agreement
This End User License Agreement ("EULA") is a legal agreement between you ("User") and Themia ("Licensor") for the use of the Themia desktop application ("Software"). By installing or using the Software, you agree to be bound by the terms of this EULA.
Grant of License
The Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on your personal computer(s) subject to the following terms:
- Free version: You may use the free version of the Software with its feature limitations at no cost.
- Pro version: Upon purchasing a valid license key, you are granted access to all features of the Software. One license key is valid for use by one individual across their personal devices.
Restrictions
You shall not:
- Copy, modify, or distribute the Software except as expressly permitted
- Reverse engineer, decompile, or disassemble the Software
- Rent, lease, lend, sell, or sublicense the Software or your license key
- Share your license key with others or use it on behalf of an organization without a separate agreement
- Remove or alter any proprietary notices, labels, or marks on the Software
- Use the Software to develop a competing product
Intellectual Property
The Software, including its code, design, graphics, and documentation, is the intellectual property of the Licensor and is protected by applicable copyright and intellectual property laws. This EULA does not grant you any ownership rights to the Software.
Third-Party Services
Certain features of the Software may integrate with third-party services (e.g., Microsoft Graph for email and calendar, weather data providers). Your use of these integrations is subject to the respective third-party terms of service and privacy policies. The Licensor is not responsible for the availability, accuracy, or content provided by third-party services.
Updates
The Licensor may provide updates to the Software from time to time. Pro license holders receive free updates within the current major version (v1.x). The Licensor is not obligated to provide updates indefinitely and reserves the right to discontinue support for older versions.
Disclaimer of Warranties
The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. The Licensor disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
In no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or in connection with your use of the Software, even if advised of the possibility of such damages. The Licensor's total liability shall not exceed the amount paid by you for the Software.
Termination
This EULA is effective until terminated. It will terminate automatically if you fail to comply with any term. Upon termination, you must cease all use of the Software and destroy all copies in your possession. The Licensor may also terminate your license if your license key is found to be used in violation of these terms.
Governing Law
This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor resides, without regard to conflict of law provisions.
